Here and Always, LLC ("Here & Always," "we," "us," or "our") operates hereandalways.com and the related online store, checkout, customer-account features, gifting and corporate-gifting services, product personalization and engraving services, customer-support channels, promotions, email and text-message programs, creator and affiliate relationships, and other websites, pages, features, products, or services that link to this Privacy Policy (collectively, the "Services"). Our online store is powered by Shopify.

This Privacy Policy explains how we collect, use, disclose, retain, and protect Personal Information when you visit or use the Services, purchase or receive a product, communicate with us, subscribe to marketing, participate in a promotion or business relationship, or otherwise interact with Here & Always. It also describes privacy rights and choices that may be available to you.

Please read this Privacy Policy carefully. This Privacy Policy is a notice of our practices. It is not, by itself, a request for consent. Where applicable law requires consent for a particular activity, such as certain marketing communications, cookies, or other processing, we request that consent separately. If this Privacy Policy conflicts with our Terms of Service regarding the collection, use, disclosure, retention, or processing of Personal Information, this Privacy Policy controls with respect to those matters.

1. Scope and Meaning of Personal Information

This Privacy Policy applies to Personal Information we process in connection with the Services, including information relating to website visitors, customers, gift recipients, email and text-message subscribers, corporate-gifting contacts, creators, affiliates, vendors, event contacts, and other individuals who interact with us.

It does not govern the independent privacy practices of third-party websites, platforms, applications, payment or financing services, social networks, carriers, or other services that we do not control. Those parties' privacy notices apply to processing they conduct for their own purposes.

"Personal Information" means information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with an individual or household. Depending on applicable law, similar terms such as "personal data" may be used.

Personal Information does not include information that applicable law treats as publicly available, aggregated, anonymized, or deidentified. We may use and disclose aggregated, anonymized, or deidentified information for lawful purposes. We will not attempt to reidentify information maintained as deidentified except as permitted by law.

2. Notice at Collection and Privacy Summary

The categories of Personal Information we may collect are described in detail in Section 3 and include:

  • contact and identifying information;
  • order, transaction, and commercial information;
  • payment, financing, and billing information;
  • account and authentication information;
  • gift-recipient, gifting, personalization, and engraving information;
  • communications and customer-care information;
  • marketing, consent, and preference information;
  • mobile and text-message information;
  • device, browser, Internet, and other electronic-network activity;
  • approximate location information;
  • creator, affiliate, corporate, vendor, event, and professional information;
  • reviews, social content, and other user-submitted content;
  • security, fraud-prevention, and compliance information; and
  • preferences and inferences.

We collect and use these categories for the purposes described in Section 5, including to operate the Services; process payments and financing options selected by a customer; fulfill, personalize, and deliver orders and gifts; provide customer care; communicate with customers and recipients; maintain accounts; conduct marketing where permitted; provide cart or checkout reminders where separately consented to; personalize and improve the Services; measure advertising and referrals; manage creator, affiliate, corporate, vendor, and event relationships; prevent fraud; maintain security; comply with law; and administer our business.

We do not sell Personal Information in exchange for money. During the 12 months preceding the effective date of this Privacy Policy, we disclosed online or contact-match identifiers, commercial information, Internet or electronic-network activity, approximate location, and advertising-related inferences to Shopify and advertising, analytics, attribution, audience-matching, or social-media partners for personalized or targeted advertising and related measurement. Under some privacy laws, those disclosures constitute or may constitute a "sale," "sharing," or "targeted advertising." We did not sell or share complete payment credentials, account-authentication credentials, recipient lists, private communications, private gift notes, engraving or personalization content, SMS opt-in data or consent status, or sensitive Personal Information for targeted advertising. Additional details appear in Sections 7, 10, 11, 12, and 17.

Eligible individuals may opt out of qualifying sale, sharing, or targeted advertising through our Your Privacy Choices page and through a legally recognized opt-out preference signal such as Global Privacy Control, as described below.

We retain each category only for as long as reasonably necessary and proportionate for the disclosed purposes, subject to the category-specific criteria in Section 14.

A telephone number provided for checkout, shipping, delivery, customer support, a contact form, or another non-marketing purpose does not by itself enroll that number in promotional text messaging. Marketing texts require a separate affirmative opt-in. We do not sell or rent SMS opt-in data or consent status, transfer SMS consent to another brand, or disclose that data for another party's independent marketing.

3. Personal Information We Collect

The Personal Information we collect depends on how you interact with us, which Services you use, the features and providers involved, and applicable law. We may collect the following categories.

A. Contact and identifying information

This may include your name, alias, email address, telephone number, postal address, billing address, shipping address, account or customer identifier, online identifiers, social-media handle, business contact information, and other identifiers you provide.

B. Order, transaction, and commercial information

This may include products you view, search for, save, add to a cart or wishlist, purchase, personalize, gift, return, exchange, cancel, or review; order history; order numbers; transaction dates and values; discount or promotional codes; gift-card activity; referral or affiliate source; delivery status; refund information; product interests; and customer or gifting preferences.

C. Payment, financing, and billing information

When you make a purchase, Shopify, payment processors, financial institutions, and any payment or financing provider you select, including a buy-now-pay-later provider where offered, may collect complete payment-card, bank-account, identity-verification, or financing information directly from you. We generally receive transaction details, payment or financing status, billing information, fraud or risk indicators, payment-method type, and limited payment-card details such as the last four digits. We generally do not receive or store complete payment-card credentials.

A payment or financing provider may independently determine eligibility, approve or decline a transaction, and process Personal Information under its own privacy notice and terms.

D. Account and authentication information

This may include customer-account identifiers, sign-in credentials, one-time codes or other authentication information, saved addresses, preferences, settings, order history, account activity, and information used to secure or verify an account. Shopify or another account provider may process authentication information on our behalf or for its own services.

E. Gift-recipient, gifting, personalization, and engraving information

This may include a recipient's name; delivery address; telephone number or email address when needed for delivery or coordination; the sender's name; the relationship, occasion, or timing you choose to describe; gift-note content; engraving or inscription text; initials, dates, monograms, or symbols; design and packaging instructions; personalization approvals; reference images; recipient lists; delivery instructions; and other information necessary to create, fulfill, deliver, or support a personalized gift or corporate-gifting order.

F. Communications and customer-care information

This may include emails, contact-form submissions, text messages, chats, direct messages, social-media messages, customer-service requests, product questions, return or exchange communications, survey responses, attachments, and any information you include when communicating with us, together with the date, time, channel, and related service records.

This may include email and SMS subscription status; consent and opt-out status; the date, time, source, method, and Internet Protocol address associated with enrollment where recorded; the version of the disclosure presented when you enrolled; double-opt-in or verification status; campaign engagement; message-delivery status; link clicks; referral source; promotion participation; and communication preferences.

H. Mobile and text-message information

If you enroll in or communicate through our text-message program, this may include your mobile telephone number, carrier or country information, SMS consent and opt-out status, subscription source, message content and history, delivery or error information, message interactions, links clicked, HELP or opt-out requests, customer-service interactions, and related consent, compliance, and suppression records.

I. Device, browser, Internet, and electronic-network activity

This may include your Internet Protocol address, browser type, device type, operating system, language, network information, cookie or pixel identifiers, device or advertising identifiers, referring and exit pages, pages and products viewed, searches, clicks, taps, scrolling, pointer or mouse movements, repeated or “rage” clicks, session navigation, form-interaction metadata, heatmap information, session-replay information where enabled, cart and checkout activity, interaction with advertisements and communications, timestamps, and information about how and when you use the Services.

J. Approximate location information

We may infer an approximate city, region, state, country, or time zone from an Internet Protocol address, billing or shipping address, telephone country or area code, device settings, or similar information. We do not intentionally collect precise GPS or similarly precise geolocation through our website or text-message program unless we provide a separate notice and obtain any consent required by law.

K. Creator, affiliate, corporate, vendor, event, and professional information

If you interact with us in a professional or business capacity, this may include your company, title, professional contact details, tax or resale information, social-media or creator profile, publicly available professional information, audience or campaign information, referral codes, attribution and performance data, commission-related information, event or gifting requirements, recipient lists, and information necessary to manage the relationship.

L. Reviews, social content, and other user-submitted content

This may include product reviews, ratings, photographs, videos, testimonials, tags, comments, public social-media posts, and other content you submit, publish, or authorize us to use.

M. Security, fraud-prevention, and compliance information

This may include account-authentication information, order-risk indicators, device or network signals, identity-verification results supplied by a provider, chargeback information, suspected fraud data, login history, records of policy or legal compliance, and information necessary to protect customers, recipients, personnel, property, and the Services.

N. Preferences and inferences

We may derive preferences or likely interests from purchases, browsing activity, stated preferences, customer-care interactions, referral activity, and marketing engagement, such as product, scent, material, gifting, or occasion preferences. We do not use the content of private gift notes, engraving instructions, or inscriptions to create third-party advertising profiles.

O. Other information you choose to provide

We may collect other information when you voluntarily provide it, when it is reasonably necessary for a requested Service, or when we explain the collection at the time and obtain any consent required by law.

Sensitive Personal Information

Depending on the context and applicable law, limited information we or our providers process, such as account authentication information, payment information, or certain communications, may be considered sensitive Personal Information. We use sensitive Personal Information only as reasonably necessary and proportionate to provide requested products or services, process and secure transactions, authenticate accounts, prevent fraud, comply with law, or for other purposes permitted without a separate right to limit.

We do not intentionally request Social Security numbers, government-issued identification numbers, biometric identifiers, health or genetic information, precise mobile-device geolocation, passwords unrelated to the Services, or similarly sensitive information through ordinary contact forms, gift messages, engraving instructions, reviews, or marketing forms. Please do not include sensitive or confidential information in an open-text field unless it is necessary for your request and you are permitted to provide it.

4. Sources of Personal Information

We may collect Personal Information from:

  • You directly, including when you browse, create or use an account, place an order, select a payment or financing option, request personalization, join a marketing program, submit a form, communicate with us, participate in an event or promotion, or otherwise use the Services.
  • A purchaser, sender, business client, household member, or other person, including when someone provides recipient information to send you a gift or includes you on a corporate-gifting list.
  • Your browser or device automatically, including through cookies, pixels, tags, local storage, application programming interfaces, plugins, server logs, server-side technologies, and similar tools.
  • Shopify and other service providers, including payment and financing providers, shipping and fulfillment providers, account providers, Klaviyo or another messaging provider, fraud-prevention providers, analytics services, customer-support tools, and technical vendors.
  • Advertising, social-media, referral, creator, and affiliate partners, including information about the source of a referral, campaign attribution, audience interaction, or a transaction associated with an affiliate link or promotional code.
  • Publicly available and professional sources, when reasonably relevant to a creator, press, vendor, corporate, partnership, event, or other business relationship.
  • Other parties at your direction or with your consent.
  • Information we generate or infer from the information described above.

We may combine information received from different sources where permitted by law.

5. How We Use Personal Information

We collect, use, and retain Personal Information only as reasonably necessary and proportionate to the purposes described in this Privacy Policy, purposes disclosed at collection, compatible purposes permitted by law, or purposes to which you consent. We may use Personal Information to:

A. Provide and fulfill the Services

We use Personal Information to operate the website and store; process, authorize, and confirm purchases, payments, or selected financing options; create personalized products; prepare gifts, gift notes, and engravings; coordinate production, packaging, shipping, delivery, returns, exchanges, refunds, warranties, and customer accounts; maintain wishlists or saved preferences; and provide other requested products or services.

B. Provide gifting, concierge, corporate, and event services

We use Personal Information to understand the requested occasion, coordinate recipient lists, confirm personalization, manage custom or bulk orders, communicate with the purchaser or authorized business contact, support event or on-site services, deliver gifts, and provide post-order support.

C. Communicate with you and provide customer care

We use Personal Information to respond to questions and requests; provide order, account, delivery, personalization, service, security, and policy updates; resolve issues; administer returns or exchanges; and maintain our relationship with you.

D. Conduct marketing and promotions

Subject to applicable law and your choices, we use Personal Information to send email, text-message, postal, or other marketing; announce products, collections, events, and offers; administer promotions, surveys, and referral programs; personalize marketing; and measure engagement. Consent to marketing is not a condition of purchase.

E. Send cart or checkout reminders

Where you have provided the required consent, we may use information about products viewed, items placed in a cart, checkout activity, and whether a purchase was completed to send a cart or checkout reminder by email or text message.

F. Personalize, analyze, and improve the Services

We use Personal Information to remember preferences, recommend products, tailor content, understand customer journeys, evaluate product and campaign performance, conduct research and analytics, troubleshoot issues, improve accessibility and usability, test features, and develop or refine products, services, merchandising, and operations.

G. Conduct advertising, attribution, and measurement

Subject to applicable law and your choices, we use Personal Information to measure traffic and campaign performance, understand referrals, prevent duplicate advertising, create or match audiences, deliver or measure advertising on the Services or third-party services, and understand activity across devices, merchants, websites, or channels. Some disclosures for these purposes may be considered a sale, sharing, or targeted advertising under applicable law.

H. Attribute referrals and manage creator, affiliate, and partnership relationships

We use Personal Information to identify the source of traffic or orders, calculate or validate commissions, administer codes and links, manage creator and affiliate relationships, prevent misuse, coordinate collaborations, and assess program performance.

I. Protect security, integrity, and safety

We use Personal Information to authenticate accounts, secure transactions, detect and prevent fraud, spam, abuse, cyber threats, unauthorized activity, chargebacks, or violations of our terms, troubleshoot technical issues, and protect the rights, safety, and property of Here & Always, our customers, recipients, personnel, and others.

J. Comply with law and enforce our rights

We use Personal Information to comply with legal, tax, accounting, sanctions, consumer-protection, privacy, regulatory, recordkeeping, and reporting obligations; respond to valid legal process; investigate or resolve complaints and disputes; enforce agreements and policies; and establish, exercise, or defend legal claims.

K. Operate and administer our business

We use Personal Information for internal reporting, audits, finance, insurance, training, vendor management, corporate governance, business continuity, and the evaluation or completion of a financing, merger, acquisition, reorganization, bankruptcy, sale of assets, or similar business transaction.

L. Create aggregated or deidentified information

We may aggregate, anonymize, or deidentify Personal Information and use the resulting information for analytics, research, planning, product development, security, and other lawful purposes.

M. Other disclosed purposes

We may use Personal Information for another purpose disclosed at collection, at your direction, with your consent, or as otherwise permitted by law.

6. Gift Recipients and Information About Other People

Here & Always is designed for gifting. A purchaser or business client may provide limited Personal Information about another person so that we can create, personalize, and deliver a gift.

When you provide Personal Information about a recipient or another person, provide only information reasonably necessary for the gift or requested service and ensure that you are permitted to provide it where required by law. Do not submit sensitive, confidential, or inappropriate information about another person.

We use recipient information to create, personalize, fulfill, deliver, and support the gift; communicate about delivery where appropriate; prevent fraud; maintain required transaction records; and comply with law. We do not add a recipient to an email or text-message marketing list solely because the recipient received a gift. The recipient must separately opt in before receiving marketing that requires consent.

We do not use private gift-note content, engraving text, or inscription content for cross-context behavioral advertising or another party's independent marketing.

Gift-recipient information may be disclosed to Shopify, payment and fraud providers, shipping carriers, fulfillment providers, engraving or personalization professionals, event-production partners, and other vendors that need the information to complete or support the order. A recipient may see the sender's name, gift note, inscription, or other information the purchaser directs us to include.

For corporate or bulk gifting, the business customer is responsible for having an appropriate basis to provide recipient information and for providing any notice required of that customer by law. A recipient may contact us directly to exercise applicable privacy rights concerning information Here & Always controls.

7. Cookies and Similar Technologies

We and our service providers use cookies, pixels, tags, local storage, software development kits, plugins, application programming interfaces, server logs, server-side tools, and similar technologies to operate and secure the Services, remember preferences, understand activity, personalize experiences, measure performance, attribute referrals, and support advertising.

These technologies may be used for:

  • Strictly necessary functions, such as maintaining a cart, processing checkout, authenticating accounts, remembering privacy choices, preventing fraud, balancing traffic, and securing the Services.
  • Functionality and personalization, such as remembering language, region, account settings, preferences, or products of interest.
  • Analytics and performance, such as measuring traffic, understanding use, diagnosing errors, creating heatmaps or session replays where enabled, testing features, and improving the Services.
  • Advertising, audience matching, and attribution, such as measuring campaigns, attributing referrals, limiting repetitive advertisements, creating or matching audiences, and displaying advertising that may be more relevant to you.
  • Social-media and embedded features, such as videos, reviews, widgets, and social integrations that may allow the provider to receive information about your interaction.

Where enabled, session-replay and heatmap providers may process click, tap, scroll, pointer, navigation, form-interaction, and related technical signals to create visualizations or replays of a browsing session. We use the resulting information to diagnose technical problems, checkout friction, and usability. We review the configuration of these tools and fields that may contain payment credentials, account passwords, private gift notes, engraving content, recipient information, or other sensitive or private content so that appropriate masking, exclusion, or consent controls can be applied.

Where applicable law requires prior consent, we use non-essential cookies or similar technologies only after obtaining the consent required by that law. You may manage available choices through our cookie or privacy controls, your browser or device settings, our Your Privacy Choices page, and legally recognized opt-out preference signals. The effectiveness of browser or device controls may depend on the technology, provider, browser, device, and whether a third-party consent tool is properly integrated with Shopify's Customer Privacy features.

Most browsers allow you to block or delete cookies. Doing so may affect the availability or operation of some features. Because browser-based controls operate at the browser or device level, you may need to repeat your choices on different browsers or devices and after clearing cookies.

Global Privacy Control and Do Not Track

Where required by law, we treat a valid Global Privacy Control ("GPC") or other legally recognized opt-out preference signal as a request to opt out of activities treated as a sale, sharing, or targeted advertising for the browser or device sending the signal. If we can reasonably associate the signal with a customer account and applicable law requires it, we apply the choice to that account. A browser- or device-level signal does not ordinarily apply to unrelated offline information unless we can reasonably associate that information with the signal or account and applicable law requires broader treatment.

GPC and similar signals address sale, sharing, or targeted-advertising choices. They do not, by themselves, withdraw a separate email or text-message subscription, which may be withdrawn through the methods described in Sections 9 and 16.

Other than legally recognized opt-out preference signals, we do not currently respond to browser "Do Not Track" signals because there is no uniform industry standard for those signals.

Shopify technologies and Shopify Network Intelligence

Our store is powered by Shopify. Shopify may use cookies and similar technologies to provide checkout, Shop Pay, Shop, customer accounts, analytics, fraud prevention, personalized commerce, and other Shopify services.

We use certain Shopify enhanced services. When Shopify Network Intelligence or related enhanced services are enabled, Shopify may use information about your interactions with our store, other merchants, and Shopify to provide or improve fraud prevention, analytics, personalization, advertising, and other Shopify services. No other merchant receives direct access to our customer data through Shopify Network Intelligence. Shopify is responsible for processing it conducts for Shopify's own purposes.

Subject to your location and applicable law, consent or opt-out choices made through Shopify's privacy controls, GPC, our data-sharing opt-out page, or a third-party tool properly integrated with Shopify's Customer Privacy interface may limit how activity from our store is used for Shopify Network Intelligence and advertising.

8. Email, Direct Marketing, Advertising, and Promotions

Subject to applicable law, we may send promotional email, text messages, postal mail, or other marketing when you have consented or when another lawful basis permits it. You may unsubscribe from promotional emails through the link in an email or by contacting us. An email opt-out does not prevent transactional, account, security, customer-service, legal, or other non-promotional communications.

We may use advertising and analytics partners to measure campaigns, understand referrals, create or match audiences, and display advertising on third-party websites or platforms. These partners may receive online identifiers, hashed contact information, commercial information, website activity, approximate location, or advertising-related inferences. Some partners may process Personal Information for their own purposes under their own privacy notices. Depending on the jurisdiction, these disclosures may be considered a sale, sharing, or targeted advertising even though we do not receive money in exchange.

From time to time, we may offer a discount, gift, early access, loyalty benefit, referral benefit, or other promotion in connection with joining a program or providing Personal Information. The material terms of the offer will be presented at or before enrollment. If an offer is treated as a financial incentive, bona fide loyalty program, or price or service difference under applicable law, we will provide an offer-specific notice at or before opt-in that includes the information required by that law, such as the categories of Personal Information involved, material terms, how to opt in, how to withdraw, and any required explanation of the relationship between the benefit and the value of the information. Participation is voluntary.

9. Text Messaging and Mobile Information

When you separately and affirmatively opt in to the Here & Always text-message program, Here & Always and service providers acting on our behalf may send recurring text messages to the mobile telephone number you provide. Depending on the disclosure and consent provided, messages may include product announcements, promotions, special offers, collection or event information, customer-care communications, order or service updates, and cart or checkout reminders.

Messages may be sent using an automatic telephone dialing system or other automated technology where permitted by law. Consent to receive marketing text messages is not a condition of purchasing any product or service. Message frequency varies. Message and data rates may apply.

Providing a telephone number for checkout, shipping, delivery, an order, customer support, a corporate-gifting inquiry, a contact form, or another non-marketing purpose does not by itself enroll that number in promotional text messaging.

Only a person who is legally able to provide the required consent and who is the subscriber, account holder, or authorized user of the mobile number should enroll.

B. Mobile information we collect and how we use it

In connection with the text-message program, we may collect and process your mobile telephone number; carrier or country information; SMS consent, subscription, and opt-out status; the date, time, source, method, Internet Protocol address, and version of the disclosure associated with enrollment where recorded; double-opt-in or verification status; message content and history; delivery, error, and engagement information; links clicked; HELP or opt-out requests; customer-service interactions; and order, browsing, cart, or checkout information linked to the mobile number.

We use this information to operate, administer, secure, monitor, and improve the text-message program; send the message categories disclosed at opt-in; maintain evidence of consent; process and document opt-outs; respond to requests; prevent fraud or misuse; comply with carrier and legal requirements; and resolve disputes.

C. Abandoned-cart and abandoned-checkout reminders

Our website and service providers use cookies, pixels, tags, plugins, integrations, and similar technologies to recognize a browser or device, remember products viewed or placed in a cart, record checkout activity, and determine whether a purchase was completed.

If you have expressly consented to receive the applicable text messages, we may use this information to determine when a cart or checkout appears to have been abandoned and when to send a cart or checkout reminder by text message.

D. SMS opt-in data and disclosures to service providers

Notwithstanding any other provision of this Privacy Policy, text-messaging originator opt-in data and consent status will not be sold, rented, or disclosed to a third party for purposes unrelated to providing, supporting, securing, or complying with the text-message program for which you enrolled. We do not transfer your SMS consent to another brand or permit another party to rely on that consent for its own independent marketing.

We may disclose mobile information, including a mobile number, SMS opt-in or consent status, message data, and opt-out status, to service providers and other parties that help us provide and administer the program. These may include Shopify, Klaviyo or another messaging platform, telecommunications carriers, messaging aggregators, customer-support providers, fraud-prevention providers, and security, legal, and compliance vendors. Those parties may process the information to provide services to us, deliver or administer messages, maintain consent or suppression records, protect the program, or comply with law.

E. Location and the text-message program

The Here & Always text-message program does not intentionally collect precise GPS location from your mobile device. Where enabled, we may use approximate location or time-zone information inferred from an Internet Protocol address, telephone country or area code, billing or shipping address, or device information to administer the program, localize communications, apply appropriate sending times, prevent fraud, route messages, or comply with law.

F. Opting out of text messages

You may withdraw consent to text messages that require consent at any time by replying STOP, QUIT, END, CANCEL, UNSUBSCRIBE, REVOKE, or OPT OUT to a message from us; using an unsubscribe link where available; or clearly communicating your request through another reasonable method, including by emailing hi@hereandalways.com or calling +1 626-922-4402.

Unless you clearly communicate a narrower request and applicable law permits that treatment, we will apply a valid revocation request to all Here & Always text-message categories for which your consent is required. You may continue to receive a text you specifically request or another non-promotional text that does not require consent, subject to applicable law.

We will honor valid opt-out requests within the period required by applicable law and, for covered U.S. messages, no later than ten business days after receipt. We may send one non-promotional message confirming the request. We may retain a minimal suppression record, including the mobile number, opt-out date, and opt-out status, for at least five years where required or reasonably appropriate to honor the request, demonstrate compliance, resolve disputes, and prevent future messages unless you later opt in again.

For assistance, reply HELP to a message from us or contact us using the information in Section 22. If a mobile number is reassigned, disconnected, or no longer yours, please notify us.

A. Shopify and commerce infrastructure providers

We disclose information to Shopify and its affiliates to host and operate the store; provide checkout, Shop Pay, Shop, customer accounts, fraud prevention, analytics, personalized commerce, advertising, and enhanced Shopify services; process transactions; and provide related infrastructure.

B. Payment, financing, and fraud-prevention providers

Payment processors, financial institutions, buy-now-pay-later or other financing providers selected by a customer, identity-verification providers, fraud-screening services, and chargeback-management providers may receive information necessary to authorize or finance transactions, prevent fraud, process refunds, and resolve disputes. Some of these parties process information independently under their own privacy notices.

C. Fulfillment, shipping, delivery, and personalization providers

We may disclose information to manufacturers, fulfillment providers, engravers, personalization professionals, packaging vendors, carriers, couriers, customs authorities, event partners, and gift recipients as reasonably necessary to create, fulfill, deliver, or support an order or service.

D. Technology, communications, and business service providers

We may disclose information to vendors that provide hosting, cloud storage, website development, information technology, cybersecurity, analytics, email, text messaging, customer support, document management, accessibility support, accounting, insurance, auditing, and other services on our behalf.

E. Marketing, advertising, analytics, attribution, and social-media partners

Subject to applicable law and your choices, we may disclose online identifiers, device and activity information, contact-match or hashed contact information, commercial information, campaign information, approximate location, and advertising-related inferences to partners that support analytics, attribution, audience creation, advertising, social-media features, and campaign measurement. Some partners process information for their own purposes under their own privacy notices. Certain disclosures may be considered a sale, sharing, or targeted advertising under applicable law. SMS opt-in data and consent remain subject to the stricter limitations in Section 9.

F. Creator, affiliate, referral, corporate, event, and partnership platforms

We may disclose information needed to administer a referral, creator, affiliate, promotion, collaboration, corporate-gifting engagement, event, or other business relationship; attribute a transaction; calculate or report a commission; coordinate a requested service; or prevent misuse.

G. Professional advisers

We may disclose information to attorneys, accountants, auditors, insurers, bankers, consultants, and other professional advisers when reasonably necessary for their services, risk management, compliance, or the establishment, exercise, or defense of legal claims.

We may disclose information when we believe in good faith that disclosure is necessary or appropriate to comply with law, regulation, subpoena, court order, or other valid legal process; respond to government or law-enforcement requests; protect rights, property, safety, or security; detect or prevent fraud or illegal activity; enforce our terms; or investigate and resolve disputes.

I. Business-transaction recipients

We may disclose information to actual or prospective purchasers, investors, lenders, advisers, and other participants in connection with due diligence, financing, insurance, a merger, acquisition, reorganization, bankruptcy, sale of assets, or similar transaction. Where required, recipients will be subject to appropriate confidentiality or use restrictions.

J. Affiliates

We may disclose information within our corporate family, if any, for the purposes described in this Privacy Policy, subject to applicable law. SMS opt-in data and consent will not be transferred for an affiliate's independent marketing.

K. Parties you direct or authorize

We may disclose information when you direct, request, authorize, or consent to the disclosure, or when disclosure is necessary to provide a feature, payment option, delivery service, social feature, or other service you request.

L. The public or other users

Content you choose to make public, such as a review, testimonial, public comment, or social-media post, may be visible to the public and may be used or disclosed consistent with the context in which you provided it and applicable law.

M. Aggregated, anonymized, or deidentified information

We may disclose information that has been aggregated, anonymized, or deidentified so that it cannot reasonably be linked to an individual or household.

11. Our Relationship with Shopify

The Services are hosted and supported by Shopify. Shopify collects and processes Personal Information when you access or use our store, checkout, Shop Pay, Shop, customer accounts, or other Shopify services.

In many circumstances, Shopify processes Personal Information on our behalf to help us operate the store. Shopify also processes certain Personal Information for Shopify's own purposes when you use Shopify consumer services or when Shopify provides enhanced services, including services that may use Shopify Network Intelligence. These enhanced services may use information about your activity on our store, other merchants, and Shopify to provide or improve fraud prevention, personalized shopping, analytics, advertising, store performance, and other services. In those circumstances, Shopify is responsible for the processing it conducts for its own purposes.

Information submitted through the Services may be transmitted to Shopify and to service providers or other parties located in countries outside the place where you live to provide the Services, including Shopify enhanced services.

You may manage certain Personal Information and choices relating to Shopify's own processing through the Shopify privacy portal.

Requests concerning Personal Information that Here & Always controls should be directed to us using Section 22.

12. Sale, Sharing, and Targeted Advertising

We do not sell Personal Information in exchange for money. However, some privacy laws define "sale" or "sharing" broadly to include certain disclosures of Personal Information to advertising, analytics, attribution, social-media, or marketing partners in exchange for services or other value, or for cross-context behavioral or targeted advertising.

Depending on the technologies and services enabled, we may disclose the following categories for personalized advertising, targeted advertising, audience matching, attribution, or campaign measurement:

  • identifiers and online identifiers, such as cookie, device, advertising, or account-match identifiers and hashed contact information;
  • commercial information, such as products viewed, placed in a cart, purchased, or considered;
  • Internet or other electronic-network activity, such as browsing, search, click, and advertising-interaction information;
  • approximate location; and
  • advertising-related preferences or inferences.

The recipient categories may include Shopify and advertising, analytics, attribution, audience-matching, and social-media partners.

You may opt out of qualifying sale, sharing, or targeted advertising through our Your Privacy Choices page. Where required, we also recognize GPC and other legally recognized opt-out preference signals as described in Section 7.

An opt-out does not prevent disclosures to service providers or contractors that process information on our behalf for necessary business purposes, prevent advertising that is not based on activity across businesses or contexts, or affect aggregated, anonymized, or deidentified information.

We do not sell, rent, or share SMS opt-in data or SMS consent for another party's independent marketing. We do not have actual knowledge that we sell or share Personal Information of individuals under 16. We do not sell or share complete payment-card credentials, private gift-note or engraving content, or sensitive Personal Information for targeted advertising.

13. Automated Tools and Decision-Making

We and our providers may use rules-based, algorithmic, or automated tools to support product recommendations, marketing timing, customer segmentation, referral attribution, fraud detection, payment security, inventory planning, analytics, and routing of customer-service requests.

Payment, financing, identity-verification, and fraud-prevention providers may independently use automated tools to assess risk, verify identity, determine eligibility, approve or decline a transaction, or require additional review under their own privacy notices and terms.

Through the consumer Services, Here & Always does not use Personal Information to make decisions determining employment, housing, education, insurance, health care, or access to essential services. If we use automated decision-making in a manner subject to a pre-use notice, risk assessment, access, explanation, opt-out, correction, appeal, or other requirement under applicable law, we will provide the required notice and choices before or at the time required by law.

14. Data Retention

We retain Personal Information only for as long as reasonably necessary and proportionate for the purposes described in this Privacy Policy, purposes disclosed at collection, compatible purposes permitted by law, or another purpose to which you consent. We also consider legal, tax, accounting, consumer-protection, payment, chargeback, warranty, security, fraud-prevention, dispute, and recordkeeping obligations.

The retention criteria for principal categories are:

  • Order, transaction, tax, payment-status, refund, shipping, and fulfillment records: retained for the time needed to complete and support the transaction and for applicable accounting, tax, payment, warranty, consumer-protection, audit, and dispute periods.
  • Complete payment, bank, identity-verification, or financing information held by payment or financing providers: retained by those providers under their own policies and legal obligations. Here & Always generally retains only the limited transaction information made available to us.
  • Account and profile information: retained while the account is active and for a reasonable period afterward for support, security, recordkeeping, and legal purposes, or until a valid deletion request is completed, subject to exceptions.
  • Gift-recipient, personalization, engraving, reference-image, and gift-note information: retained through production, fulfillment, delivery, and a reasonable customer-care, quality-control, reorder, warranty, or dispute period. We may retain selected personalization history longer when a customer requests or reasonably expects a future reorder, subject to applicable rights.
  • Customer-service communications and other business correspondence: retained for the time needed to resolve the request, maintain an appropriate business record, prevent repeated issues, and address potential disputes or legal obligations.
  • Email and SMS consent records: retained for the life of the consent and for a reasonable period afterward to demonstrate compliance, resolve disputes, and document the disclosure and method associated with enrollment.
  • SMS, email, and other suppression or do-not-contact records: retained for as long as reasonably necessary to honor the request and, for covered U.S. telemarketing records, at least five years where required.
  • Cookie, pixel, device, analytics, and advertising identifiers: retained according to the technology's configured duration, provider settings, consent choices, and the time reasonably needed for security, analytics, attribution, or advertising purposes.
  • Creator, affiliate, corporate, vendor, event, and professional records: retained during the relationship and for a reasonable period afterward for payment, reporting, audit, tax, contract, compliance, and dispute purposes.
  • Security, fraud, and incident records: retained for the time reasonably necessary to detect patterns, investigate incidents, protect the Services, prevent recurrence, and comply with legal obligations.
  • Privacy-rights and verification records: retained for the time reasonably necessary to document our response, prevent fraud, demonstrate compliance, and honor continuing choices.

When Personal Information is no longer required, we may delete, anonymize, or deidentify it. Information may remain for a limited period in backups or archives until overwritten or deleted through ordinary processes, subject to safeguards and restrictions on further use.

15. Data Security

We use reasonable administrative, technical, organizational, and physical safeguards designed to protect Personal Information against unauthorized access, acquisition, loss, misuse, alteration, destruction, or disclosure. Safeguards are selected in light of the nature of the information, the Services, and relevant risks.

No method of transmission over the Internet, electronic storage, or security program is completely secure. We therefore cannot guarantee absolute security. You are responsible for maintaining the confidentiality of account credentials and for using secure methods when communicating sensitive information.

Do not send a password, complete payment-card number, government identification number, or other highly sensitive information through an ordinary email, contact form, review, gift note, engraving field, or other open-text channel.

16. Your Privacy Rights and Choices

Depending on where you live and subject to applicable conditions and exceptions, you may have the right to:

  • confirm whether we process Personal Information about you;
  • access or know the Personal Information we maintain, including categories, sources, purposes, recipient categories, or specific third parties where applicable;
  • obtain a portable copy of certain Personal Information;
  • correct inaccurate Personal Information;
  • delete Personal Information;
  • opt out of qualifying sale, sharing, or targeted advertising;
  • opt out of certain profiling or automated decision-making;
  • limit certain uses or disclosures of sensitive Personal Information where applicable;
  • withdraw consent where processing relies on consent, without affecting processing that occurred before withdrawal;
  • object to or request restriction of certain processing;
  • obtain information about and, where applicable, challenge or appeal a qualifying automated decision;
  • appeal a decision we make concerning a privacy request;
  • receive non-discriminatory treatment and be free from unlawful retaliation for exercising a privacy right; and
  • complain to an applicable privacy, consumer-protection, or data-protection authority.

These rights are not absolute. We may deny or limit a request where permitted by law, including when we cannot verify the request, an exception applies, the information is needed to complete a transaction or provide a requested service, retention is legally required, the information is needed for security or legal claims, or the request would adversely affect another person's rights.

How to submit a request

You may submit a privacy request by:

  • selecting Your Privacy Choices in the footer of our website or visiting our Your Privacy Choices page for sale, sharing, or targeted-advertising opt-outs;
  • emailing hi@hereandalways.com with the subject line "Privacy Request";

  • writing to the postal address in Section 22.

Describe the right you wish to exercise and provide enough information for us to locate relevant records. Do not send a password, complete payment-card number, government identification number, or another sensitive document unless we specifically request it through an appropriate method.

Verification

We may verify your identity, authority, and residency before completing a request. Verification may involve confirming control of an email address or telephone number, requesting information associated with an order or account, or using another reasonable method. We will request only information reasonably necessary for verification and will use it for verification, security, fraud prevention, and compliance.

Authorized agents

Where permitted, you may designate an authorized agent to submit a request. We may require proof of the agent's authority and may ask you to verify your identity or confirm the request directly, unless applicable law provides otherwise. An agent using a legally recognized opt-out preference signal may be treated as authorized where required by law.

Appeals

If applicable law gives you a right to appeal and we deny your request, you may appeal by replying to our decision or emailing hi@hereandalways.com with the subject line "Privacy Appeal." We will respond within the period required by law and, where required, explain how to contact the appropriate regulator.

Communication choices

You may unsubscribe from promotional email through the link in the message. You may opt out of text messages as described in Section 9. You may manage cookies and targeted advertising through our cookie controls, Your Privacy Choices, browser or device settings, or GPC.

Even after a marketing opt-out, we may send transactional, service, account, security, legal, or relationship communications that are not promotional.

Shopify-controlled information

Shopify may control certain Personal Information processed through Shop, Shop Pay, Shopify consumer services, or Shopify enhanced services. You may exercise applicable rights concerning Shopify-controlled information through the Shopify privacy portal.

17. California and Other U.S. State Disclosures

This section supplements the rest of this Privacy Policy for residents of California and other U.S. states with comprehensive consumer privacy laws. It applies only to the extent the relevant law applies to Here & Always or to the particular processing activity.

A. Notice at collection and preceding 12-month disclosure

During the 12 months preceding the effective date of this Privacy Policy, we collected the statutory categories identified below where applicable to an individual's interaction with us and the Services. During that period, we disclosed each collected category to one or more service providers or contractors for the category-specific business purposes described below and in Sections 5 and 10. The categories of sources are described in Section 4, the recipient categories in Section 10, and the retention criteria in Section 14. The categories we disclosed in ways that constitute or may constitute a sale or sharing under applicable law, the relevant third-party categories, and the purposes for those disclosures are stated below and further described in Section 12.

Identifiers

Examples include name, alias, postal address, email address, telephone number, account or customer identifier, Internet Protocol address, cookie, device, or advertising identifier, social-media handle, and business contact identifier.

We use and disclose identifiers for fulfillment, personalization, accounts, communications, customer care, marketing, security, legal compliance, and business operations. During the preceding 12 months, we disclosed online identifiers and contact-match information to Shopify and advertising, analytics, attribution, audience-matching, or social-media partners for targeted advertising and related measurement. Under applicable law, those disclosures constitute or may constitute a sale or sharing. We did not sell identifiers in exchange for money.

Personal information described in California Civil Code section 1798.80(e)

Examples we may collect within this statutory category include name, address, telephone number, billing information, limited payment-related information made available to us, transaction information, and other customer-record information. Complete payment-card, bank-account, identity-verification, or financing information is generally collected directly by Shopify, a payment processor, a financial institution, or a financing provider.

We use and disclose this information for purchases, selected financing options, fulfillment, billing, customer care, fraud prevention, accounting, legal compliance, and business operations. We did not sell this category in exchange for money. To the extent limited contact-match information falls within this statutory category, the disclosures described under Identifiers above constitute or may constitute a sale or sharing. Complete payment credentials were not sold or shared for targeted advertising.

Commercial information

Examples include products viewed, placed in a cart, purchased, personalized, returned, or gifted; order history; transaction value; product or gifting preferences; referral source; promotion activity; and customer or creator relationship information.

We use and disclose this information for fulfillment, recommendations, analytics, marketing, advertising, attribution, security, and business operations. During the preceding 12 months, we disclosed certain commercial information to Shopify and advertising, analytics, attribution, audience-matching, or social-media partners for targeted advertising and related measurement. Under applicable law, those disclosures constitute or may constitute a sale or sharing. We did not sell commercial information in exchange for money.

Internet or other electronic-network activity information

Examples include browsing activity on the Services, searches, clicks, page views, cookie or device identifiers, advertising interactions, cart and checkout activity, and browser, device, or network information.

We use and disclose this information for website operation, security, analytics, personalization, advertising, audience matching, and attribution. During the preceding 12 months, we disclosed this category to Shopify and advertising, analytics, attribution, audience-matching, or social-media partners for targeted advertising and related measurement. Under applicable law, those disclosures constitute or may constitute a sale or sharing. We did not sell this category in exchange for money.

Geolocation data

The geolocation data we may collect is generally approximate, such as a city, region, state, country, or time zone inferred from an Internet Protocol address, postal address, telephone information, or device setting.

We use and disclose approximate location for localization, delivery, fraud prevention, analytics, advertising, message timing where enabled, and compliance. During the preceding 12 months, we disclosed approximate location to Shopify and advertising, analytics, attribution, audience-matching, or social-media partners for targeted advertising and related measurement. Under applicable law, those disclosures constitute or may constitute a sale or sharing. We did not sell this category in exchange for money and do not intentionally collect precise GPS or similarly precise geolocation through the website or text-message program.

Examples include company, title, business contact information, and creator, affiliate, vendor, press, partnership, event, or corporate-gifting information.

We use and disclose this information to manage the relevant business relationship, service request, event, program, payment, or transaction. We do not ordinarily sell or share this category for cross-context behavioral advertising. A professional contact's online identifier or advertising-related website activity may nevertheless be treated as sold or shared where the same person interacts with our consumer website and applicable advertising technologies are enabled.

Audio, electronic, visual, or similar information

Examples we may collect within this statutory category include electronic communications, customer-service records, photographs, videos, reviews, testimonials, personalization reference materials, and other content submitted to us. We do not intentionally collect thermal or olfactory information through the ordinary Services. We collect audio only if an interaction is recorded after providing any notice or obtaining any consent required by law.

We use and disclose this information for customer care, fulfillment, personalization, reviews, promotions where authorized, security, and legal compliance. We do not sell or share private communications, private gift-note content, engraving content, or personalization materials for targeted advertising.

Inferences

Examples include product, scent, material, gifting, or occasion preferences inferred from purchases, browsing activity, stated preferences, and marketing engagement.

We use this information for personalization, analytics, product development, and marketing. During the preceding 12 months, we disclosed advertising-related inferences to Shopify and advertising, analytics, attribution, audience-matching, or social-media partners for targeted advertising and related measurement. Under applicable law, those disclosures constitute or may constitute a sale or sharing. We do not use private gift-note or engraving content to build third-party advertising profiles.

Sensitive Personal Information

Examples may include account authentication information; payment or financing information processed by Shopify, payment providers, or financing providers; and the contents of a private communication or gift note where applicable law treats that content as sensitive Personal Information and Here & Always is not the intended recipient of the communication.

We use sensitive Personal Information only for providing requested services, processing and securing payments or selected financing, authenticating accounts, creating or delivering a requested gift, maintaining security, preventing fraud, complying with law, and other permitted purposes. We do not sell or share sensitive Personal Information for targeted advertising and do not use or disclose it to infer characteristics in a manner that requires a separate right to limit under California law.

Through the ordinary consumer Services, we do not intentionally collect biometric information, education information, government-issued identifiers, health or genetic information, or precise mobile-device geolocation. Information of that kind may be processed by an independent provider only if separately requested, disclosed, and permitted by law, or may be incidentally included by a user in an open-text communication despite our instruction not to submit it.

We do not have actual knowledge that we sell or share Personal Information of individuals under 16.

B. California and comparable state rights

Residents of states with applicable privacy laws may have the rights described in Section 16, including rights to know or access, delete, correct, obtain a portable copy, opt out of sale or sharing or targeted advertising, limit certain sensitive-information uses, opt out of certain profiling, appeal, and receive non-discriminatory treatment.

We honor valid GPC and other legally recognized opt-out preference signals as required by law. Our Your Privacy Choices page provides an additional method to opt out of qualifying sale, sharing, or targeted advertising.

C. California "Shine the Light"

To the extent California Civil Code section 1798.83 applies to us, California residents with an established business relationship may request information concerning certain disclosures of Personal Information to third parties for those parties' own direct-marketing purposes. Requests may be sent to hi@hereandalways.com with the subject line "California Direct Marketing Request." We do not disclose SMS opt-in data or consent status for third parties' own marketing.

D. Financial incentives, loyalty programs, and price or service differences

If we offer a program that qualifies as a financial incentive, bona fide loyalty program, or price or service difference under applicable law, we will provide an offer-specific notice at or before opt-in. Where required, that notice will include a summary and material terms of the offer; the categories of Personal Information involved; the value of the Personal Information or benefit and the method used to calculate it; how to opt in; the right to withdraw; and how to withdraw. A general statement in this Privacy Policy does not replace an offer-specific notice when one is legally required.

E. Nevada

Nevada residents may submit a verified request to opt out of a sale of covered information as defined by Nevada law. We do not currently sell covered information for monetary consideration under that definition. Requests may nevertheless be submitted using the methods in Section 16.

18. European Economic Area, United Kingdom, Switzerland, and International Processing

Here & Always is based in the United States. Personal Information may be accessed, stored, or processed in the United States, Canada, and other countries where Shopify, Klaviyo, payment or financing providers, shipping providers, cloud providers, or other service providers operate. Privacy protections and government-access laws may differ from those in your jurisdiction.

Where the processing of your Personal Information is subject to the data-protection laws of the European Economic Area, United Kingdom, or Switzerland, Here and Always, LLC is the controller for the purposes described in this Privacy Policy, except where another party, such as Shopify, a payment or financing provider, or another service, acts as an independent controller for its own processing.

Depending on the activity, we rely on one or more of the following legal bases:

  • Contract or steps requested before a contract, such as processing a purchase, fulfilling an order, personalizing a product, delivering a gift, managing an account, or responding to a service request.
  • Legitimate interests, such as customer care, service improvement, proportionate analytics, security, fraud prevention, business administration, direct marketing where permitted, and establishing or defending legal claims, after considering relevant privacy interests.
  • Consent, such as for certain email or text-message marketing, non-essential cookies, targeted advertising, or another activity where consent is required. You may withdraw consent at any time without affecting the lawfulness of processing before withdrawal.
  • Legal obligation, such as tax, accounting, consumer-protection, sanctions, regulatory, court-order, and other legal requirements.
  • Vital interests, in rare circumstances where processing is necessary to protect an individual's life or physical safety.

You are not generally required to provide Personal Information. If information is necessary to enter into or perform a contract, process payment or financing, deliver an order, or comply with law, we may be unable to provide the requested Service without it.

Rights and complaints

Subject to applicable conditions and exceptions, you may have rights of access, correction, erasure, portability, restriction, objection, and withdrawal of consent. You may object at any time to processing for direct marketing. You may also lodge a complaint with the data-protection authority in the country where you live, work, or believe a violation occurred.

International transfers

Where applicable law requires safeguards for an international transfer, we or the relevant provider use or rely on an available lawful mechanism as applicable, such as an adequacy decision, the European Commission's Standard Contractual Clauses, the United Kingdom International Data Transfer Addendum or International Data Transfer Agreement, contractual safeguards, consent where valid, or another approved mechanism. You may contact us for more information about safeguards applicable to processing we control.

19. Children's Privacy

The Services are intended for a general audience and are not directed to children under 13. We do not knowingly collect Personal Information directly online from children under 13. If you believe a child under 13 has provided Personal Information to us, contact us so that we can investigate and, where required, delete it.

Individuals under the age of majority in their jurisdiction should use the Services only with the involvement of a parent or legal guardian. A purchaser may provide limited information about a minor recipient to send a gift. We use that information only as reasonably necessary to personalize, fulfill, deliver, support, and document the transaction, and we ask purchasers not to provide more information than necessary.

We do not have actual knowledge that we sell or share, as those terms are defined by applicable law, Personal Information of individuals under 16.

Only a person legally able to provide the required consent and who is the subscriber, account holder, or authorized user of the mobile number should enroll in the text-message program.

20. Third-Party Websites, Services, and Social Features

The Services may contain links to or integrations with third-party websites, applications, social networks, payment or financing options, creator platforms, shipping services, embedded content, or other services that we do not control.

When you interact directly with a third party, that party may collect information from you and process it under its own privacy notice and terms. We are not responsible for the privacy, security, accuracy, or practices of third-party services. The inclusion of a link or integration does not by itself mean that we endorse the third party.

Social-media widgets, embedded content, login services, and similar features may allow the relevant provider to collect information about your interaction even if you do not actively use the feature. Review the provider's privacy settings and notices before providing information.

Information you choose to post in a public or semi-public area may be visible and used by others. Avoid posting information you do not want publicly available.

21. Changes to This Privacy Policy

We may update this Privacy Policy to reflect changes in our practices, technologies, Services, vendors, legal obligations, or other operational needs. We will post the revised version, update the "Last updated" date, and provide additional notice where required by law.

If a change requires consent, we will seek that consent as required. We will not materially expand the use of previously collected Personal Information in a manner incompatible with the notice provided at collection without providing additional notice or obtaining consent where required by law.
